Terms and Conditions

1. Introduction and Acceptance

These Terms and Conditions (“Terms”) govern your access to and use of the website sooknova.com, and all courses, webinars, and other services offered by Sooknova (Pty) Ltd (“Sooknova,” “we,” “us,” or “our”), a company registered in the Republic of South Africa, operated under the direction of Dr BP Sookram.

By registering for a course, purchasing a webinar, creating an account, or otherwise using our services, you (“you” or “the User”) agree to be bound by these Terms. If you do not agree to these Terms, you must not use our services.

We may update these Terms from time to time. Where changes are material, we will take reasonable steps to notify registered users by email. Continued use of our services after such notice constitutes acceptance of the updated Terms.

Our services are intended for users who are at least 18 years old, or who have the consent of a parent or guardian.

2. Our Services

Sooknova provides continuing professional development (“CPD”) courses, live and recorded webinars, and related professional training services, delivered online via sooknova.com.

We aim to accurately describe our courses and webinars, including their content, accreditation status, and CPD point allocation, where applicable. Course and webinar content are provided for professional development purposes and do not constitute legal, financial, medical, or other professional advice unless explicitly stated.

We reserve the right to update course content, substitute presenters, or adjust scheduling where reasonably necessary, and will notify affected users of any material change.

3. Accounts

To access certain services, you may need to create an account. You agree to:

• provide accurate and current information when registering;
• keep your login credentials confidential and do not share your account with others;
• notify us promptly at info@sooknova.co.za if you suspect unauthorised use of your account.

You are responsible for activity that occurs under your account, except where that activity results from our failure to maintain reasonable security on our systems.

4. Fees and Payment

4.1 Course and Service Fees. Fees for courses, webinars, and other services are displayed at the time of purchase. Fees must be paid in full prior to accessing the relevant course or webinar, unless we have agreed to alternative payment arrangements with you in writing.

4.2 Subscriptions. Where a service is offered on a subscription basis, the subscription will automatically renew at the end of each billing period at the then-current fee, unless you cancel before the renewal date. You may cancel a subscription at any time through your account settings or by emailing info@sooknova.co.za ; cancellation takes effect at the end of the current billing period.

4.3 Price Changes. We may change our fees for future purchases or subscription renewals. We will give you at least 30 days’ notice of any fee increase affecting an active subscription.

5. Cancellations and Refunds

5.1 Courses and Webinars. If you cancel your registration at least 7 days before the scheduled start date of a course or webinar, you are entitled to a full refund. Cancellations made less than 7 days before the start date are not eligible for a refund, except as set out below.

5.2 Non-Receipt of Access Details. If you do not receive your login or access link before a webinar or course begins, you must notify us at info@sooknova.co.za  before the scheduled start time so that we can resolve the issue or provide a replacement link. We are not obliged to issue a refund for non-attendance where you failed to notify us of an access problem before the start time.

5.3 Cancellation by Sooknova. If we cancel a course or webinar, we will notify registered users and provide a full refund within 10 working days or offer a transfer to an alternative date or course at your election.

5.4 CPD Certificates. Where a course or webinar offers CPD accreditation, certificates are issued only to attendees who complete any required attendance, assessment, or feedback steps specified for that course. Non-completion of these steps will result in no certificate being issued and does not entitle you to a refund.

5.5 No Liability for Presenter Content. Sooknova facilitates the platform and scheduling for courses and webinars. We are not liable for the specific views, advice, or statements made by individual presenters during a course or webinar, or in related correspondence, except where such content was provided or approved by Sooknova directly.

6. Marketing Communications

By registering for a course or webinar, you consent to receive emails from Sooknova about related courses, webinars, and services. You may withdraw this consent at any time by using the unsubscribe link in any marketing email or by contacting info@sooknova.co.za

7. Intellectual Property

All course materials, webinar recordings, slides, written content, trademarks, and the sooknova.com website itself are the property of Sooknova or its licensors and are protected by copyright and other intellectual property laws.

Your purchase of a course or webinar grants you a limited, non-transferable, non-exclusive license to access and use the relevant materials for your own personal professional development. You may not copy, redistribute, resell, publicly perform, or create derivative works from our materials without our prior written consent.

8. Acceptable Use

You agree not to:

• use our services for any unlawful purpose;
• attempt to gain unauthorised access to our systems, other users’ accounts, or course materials you have not purchased;
• record, copy, or redistribute webinar or course content beyond what is permitted under Section 7;
• interfere with the operation of sooknova.com or other users’ access to our services.

We may suspend or terminate access to any user who breaches this section, without obligation to refund fees already paid.

9. Third-Party Content and Links

Our website and communications may contain links to third-party websites or reference third-party tools and services. We do not control and are not responsible for the content, accuracy, or practices of third-party sites. Use of any third-party site or service is at your own risk and subject to that third party’s own terms.

10. Disclaimer of Warranties

Our services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Sooknova makes no warranties, express or implied, regarding the availability, accuracy, or uninterrupted operation of our website or services. We do not guarantee that any course or webinar will be free of errors or that access will be continuous.

11. Limitation of Liability

To the maximum extent permitted by South African law, Sooknova’s total liability to you arising out of or relating to these Terms or your use of our services is limited to the amount you paid to us for the specific course, webinar, or service giving rise to the claim in the twelve (12) months preceding the claim.

We are not liable for indirect, incidental, or consequential loss, including loss of profits, loss of data, or business interruption, arising from your use of our services, except to the extent such liability cannot be excluded under South African law, including the Consumer Protection Act 68 of 2008 where applicable.

Nothing in these Terms limits our liability for gross negligence, willful misconduct, or any liability that cannot lawfully be excluded.

12. Indemnity

You agree to indemnify Sooknova, its officers, employees, and contractors against any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of our services, except to the extent such claims arise from our own negligence or breach of these Terms.

13. Termination

We may suspend or terminate your access to our services if you materially breach these Terms and fail to remedy that breach within a reasonable period after we notify you, or immediately in cases of serious misconduct, fraud, or unlawful activity.

You may close your account at any time by contacting info@sooknova.co.za . Termination does not entitle you to a refund except as set out in Section 5.

14. Personal Information

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. We process personal information in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA).

15. Governing Law and Disputes

These Terms are governed by the laws of the Republic of South Africa. Any dispute arising from these Terms or your use of our services will be subject to the non-exclusive jurisdiction of the courts of Bloemfontein, South Africa, without prejudice to either party’s right to seek resolution through mediation or arbitration by mutual agreement.

16. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force. Our failure to enforce any provision does not waive our right to enforce it later. You may not assign your rights under these Terms without our written consent; we may assign our rights without restriction. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sooknova regarding our services.
